Chengdu Ballad Technology Co., Ltd. ("Ballad," "we," or "us") makes information and products available on this website (including xballad.com and related Ballad sites, the "Site"), subject to these Terms of Use ("Terms"). By accessing or using the Site, you agree to these Terms. Ballad may update these Terms by posting a revised version on this page. Rights not expressly granted herein are reserved.
1. Software Downloads & EULA
- Software available from the Site (including MirrorPlayer, obsmatePro, and other Ballad products) is copyrighted by Ballad. Your download, installation, and use of any software are governed by the End User License Agreement ("EULA") that accompanies the software or is posted on the Site.
- If no separate license accompanies a download or update, the EULA that applied to the product being updated continues to govern.
- You may not download, install, or use the software unless you agree to the applicable EULA. These Terms govern use of the Site; the EULA governs use of the software. If there is a conflict regarding software licensing, the EULA controls.
2. Online Purchases & Related Policies
- The Site may offer an online store or checkout pages where you can purchase time-limited licenses (for example, monthly, quarterly, or yearly plans). Unless Ballad expressly states otherwise for a specific offer, such purchases are one-time license purchases and are not auto-renewing subscriptions.
- Purchases made through the Site are also subject to the EULA (software use and activation), the Privacy Policy (personal information, payments, and activation data), and—for international store / authorized international checkout—the Refund Policy posted on the Site (for example, /refund-policy). For China-facing purchase channels, refund and payment rules follow the disclosures applicable to those channels.
- Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
- The Merchant of Record statement above applies to purchases completed through Ballad's international store and authorized Paddle checkout. For China-facing WeChat Pay channels, payment and refund rules follow the disclosures applicable to those channels. Payment data handling is described in our Privacy Policy and in the payment providers' own policies (including Paddle's).
- Related documents on the Site include: these Terms of Use (website use); the EULA (software licensing); the Privacy Policy (privacy); and the Refund Policy (international purchase refunds, where posted).
3. Download Risks & Your Responsibilities
- There are inherent risks in downloading software from the Internet (including, without limitation, malware and data loss). You are solely responsible for adequate protection and backup of data and equipment used in connection with any software obtained from the Site.
- Please ensure you understand these risks before downloading. Ballad does not warrant that downloads will be free from interruption or error.
4. Fair & Lawful Use
- Ballad software and the Site are intended for lawful use only. You may not use Ballad products or the Site to copy, transmit, or distribute music, video, games, or other content that you do not have the legal right to use.
- You must comply with applicable laws and the rules of any games, platforms, or services you use together with Ballad products. You may not use Ballad products for cheating, fraud, or other improper conduct.
- You are responsible for ensuring that your use of Ballad products is lawful in your jurisdiction.
5. Images, Marks & Branding
- Logos, splash screens, page headers, images, graphics, and similar materials on the Site are service marks, trademarks, and/or trade dress ("Marks") of Ballad or its licensors.
- Except as expressly permitted, you may not use, copy, transmit, display, modify, or distribute any Marks without Ballad's prior written permission. Unauthorized use may violate copyright, trademark, or other laws.
6. Copyright
- Copyright in the Site (including text, graphics, logos, sounds, software descriptions, and other materials) is owned or licensed by Ballad and protected under applicable copyright laws and international treaties.
- You may not copy, reproduce, distribute, transmit, display, publish, adapt, or otherwise exploit Site content without Ballad's prior written permission, except for personal, non-commercial viewing as normally permitted by browsing the Site.
- Any authorized reproduction must retain copyright notices and other proprietary legends. You may not remove or alter copyright or other notices.
7. Trademarks
- "Ballad," "MirrorPlayer," "obsmatePro," and related names and logos are trademarks or service marks of Ballad (or its affiliates) and are protected by law.
- They may be used only with Ballad's prior written permission in each instance. Unauthorized commercial use may constitute trademark infringement and unfair competition.
8. Third-Party Sites, Products & Services
- The Site may link to or mention third-party websites, products, or services for your convenience. Ballad does not control and is not responsible for their content, availability, license terms, or legality.
- A link or mention does not mean Ballad endorses that third party. Your use of third-party offerings is at your own risk and subject to their terms and privacy policies.
9. Feedback
- Comments, suggestions, ideas, or other materials you send to Ballad about the Site, software, or services ("Feedback") are deemed non-confidential.
- Ballad has no obligation regarding Feedback and may freely use, reproduce, disclose, modify, and distribute Feedback, and use any ideas or techniques therein, for any purpose (including developing and marketing products) without compensation or attribution to you.
10. Disclaimer of Warranties
- Except as expressly stated in a separate written agreement between you and Ballad, the Site and all information and software made available through it are provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
- Ballad does not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that any defects will be corrected.
- Some jurisdictions do not allow certain warranty exclusions; in those cases, the above may not fully apply to you.
11. Limitation of Liability & Indemnity
- To the maximum extent permitted by law, Ballad and its officers, employees, and affiliates shall not be liable for any incidental, consequential, special, punitive, or indirect damages, or for loss of data, profits, or business, arising from your use of (or inability to use) the Site or Ballad products, even if advised of the possibility of such damages.
- Ballad is not liable for unlawful content you create or share, or for damage or data loss caused by improper use of Ballad products or failure to follow instructions.
- You agree to defend, indemnify, and hold harmless Ballad and its affiliates, officers, directors, agents, and employees from claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Site, your content, or your violation of these Terms.
12. Governing Law, Related Documents & Contact
- These Terms and any dispute arising from the Site or these Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law principles.
- Disputes should first be resolved through friendly negotiation. If negotiation fails, either party may bring suit in a court with jurisdiction where Ballad is located (Chengdu, Sichuan, China), unless mandatory law requires otherwise.
- Related documents: (a) these Terms of Use — use of the Site; (b) the EULA — download, installation, activation, and use of Ballad software; (c) the Privacy Policy — personal information; (d) the Refund Policy — refunds for international store / authorized international checkout where posted.
