End User License Agreement

Introduction
- Welcome to the products and services of Chengdu Ballad Technology Co., Ltd. ("Ballad", "we", or "us"). Please read this End User License Agreement ("Agreement") carefully before using our products and services ("Products and Services"), including MirrorPlayer, obsmatePro, and other Ballad software we may offer.
- If you do not agree to any term of this Agreement, do not use our Products and Services.
- By downloading, installing, or using Ballad Products and Services, you accept this Agreement and agree to be bound by its terms. Use of the Ballad website is also subject to our Terms of Use where posted.
- If you are under 18 or lack full civil capacity, read this Agreement with your legal guardian and use Ballad Products and Services only with guardian consent. You and your guardian bear legal responsibility arising from accepting this Agreement and using our Products and Services. This capacity requirement is separate from the children's privacy standards described in our Privacy Policy.
1. License Grant
- You (an individual) are granted a limited, non-exclusive, non-transferable license to use the Products and Services on a computer you own or control, solely as permitted by this Agreement and any product-specific terms. Ownership and other rights are not transferred.
- Trial and free use: Current Ballad desktop products provide a three (3) day evaluation period with full features. After the trial ends, free basic features remain available; advanced/premium features require a valid paid license activation.
- Paid license term: Paid licenses are time-limited according to the plan you purchase (for example, monthly, quarterly, or yearly), as shown at checkout or in the product. Unless Ballad expressly states otherwise for a specific offer, these purchases are not auto-renewing subscriptions. When a paid license term ends, you may no longer use the advanced features covered by that license; free basic features may still be available.
- One computer per license: Each paid license / activation code may be activated on only one (1) computer. You may not share, sell, rent, or transfer license codes, or use them to activate the software on additional computers, unless Ballad expressly authorizes a reset or transfer through support.
- All rights not expressly granted remain with Ballad. Ballad's failure to exercise any right does not constitute a waiver.
2. Intellectual Property
- Chengdu Ballad Technology Co., Ltd. owns or is licensed to use the rights in software, documentation, audio, video, images, UI design, data, descriptions, marketing materials, and related content in the Products and Services, including copyright, trademarks, patents, and trade secrets, protected under PRC law and international treaties.
- Unless expressly stated, no intellectual property rights in the software are granted to you. You may not use Ballad's names, logos, or trademarks in a way that suggests affiliation, endorsement, or sponsorship without prior written consent, or make false or misleading public statements about Ballad or the Products and Services.
3. Acceptable Use
- You must comply with applicable laws, not use the Products and Services for unlawful purposes, not infringe others' rights, and not violate this Agreement.
- You agree to follow official game and platform rules and not use Ballad Products and Services for cheating, score manipulation, unauthorized copying of content you do not own, or other improper conduct.
- Except to the extent mandatory law permits, you may not reverse engineer, decompile, or disassemble the software, or remove proprietary notices.
4. Privacy
How Ballad handles personal information and product-related data is described in our Privacy Policy on the Ballad website. Please read it carefully; for privacy matters it supplements this Agreement.- The Privacy Policy explains, among other things, website visit logs, purchases and orders, software activation (including license codes and device identifiers), optional MirrorPlayer community keymap sharing, analytics that may apply to different website builds, and product-specific practices (including obsmatePro).
- If there is any conflict between this Agreement and the Privacy Policy regarding privacy or personal information, the Privacy Policy controls.
- By using the Products and Services, you acknowledge that you have had the opportunity to review the Privacy Policy.
5. Software Updates
- Ballad may, at its discretion, provide software updates, patches, or new versions from time to time.
- This Agreement does not require Ballad to provide any particular update or to continue supporting prior versions. After an update is released, Ballad may reduce or discontinue support for older versions.
- Updates are licensed under this Agreement (or under updated terms posted with the update). Installing an update does not expand your paid license term unless Ballad expressly states otherwise.
6. Support
- This Agreement does not obligate Ballad to provide technical support for the Products and Services.
- Ballad may offer free or paid support (for example, email support) from time to time, subject to the channels and policies published on the Ballad website or in the product. Support availability and response times are not guaranteed unless separately agreed in writing.
7. Disclaimer & Limitation of Liability
- Products and Services are provided without warranty of accuracy, timeliness, performance, completeness, or fitness for a particular purpose. You acknowledge possible errors and Ballad disclaims liability for such errors to the maximum extent permitted by law.
- Ballad is not liable for losses from failures or force majeure. Report defects promptly; you may not claim compensation solely due to defects where law allows such limitation.
- Do not use Products and Services for purposes violating applicable laws. Ballad is not liable for user violations.
- To the maximum extent permitted by applicable law, Ballad and its affiliates, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities, arising out of or related to the Products and Services or this Agreement.
- To the maximum extent permitted by applicable law, Ballad's aggregate liability arising out of or related to this Agreement or the Products and Services will not exceed the license fees you actually paid to Ballad for the specific product giving rise to the claim (if any).
8. Refunds
- Refund eligibility and procedures for purchases made through Ballad's international store or authorized Paddle checkout are described in the Refund Policy posted on the Ballad website (for example, /refund-policy). For those orders, Paddle.com is the Merchant of Record and handles returns; see also the Terms of Use.
- This Agreement does not expand refund rights beyond that Refund Policy and applicable law. For China-facing purchase channels, refund rules follow the disclosures and processes applicable to those channels.
9. Termination
- Ballad may terminate or modify this Agreement by posting updated terms in Products and Services or on the Ballad website, which constitutes notice. Material changes may also be communicated through the software or website when appropriate.
- This Agreement remains effective until terminated. Violation may terminate your license automatically without notice. Upon termination, stop using the software and destroy all copies in your possession or control.
10. Law and Disputes
- This Agreement is governed by the laws of the People's Republic of China, without regard to conflict-of-law principles.
- Disputes shall first be resolved through friendly negotiation; failing that, either party may bring suit in a court with jurisdiction where Ballad is located (Chengdu, Sichuan, China), unless mandatory law requires otherwise.
